1. Introduction
This End-User License Agreement (“EULA”) is a legal agreement between you (“the User”) and Plannex Consulting Group (“Plannex”, “we”, “us”, or “our”) concerning the use of the Plannex Pro software and related services (“Software”). By installing, accessing, or using the Software, you agree to be bound by this EULA. If you do not agree, you must not install, access, or use the Software.
2. Grant of License
- License: Subject to the terms of this EULA, Plannex grants you a limited, non-exclusive, non-transferable, and revocable license to use the Software for your internal business or personal use.

- Modify, alter, or adapt the Software in any way.
- Reverse-engineer, decompile, or disassemble the Software.
- Use the Software for any purpose that is unlawful or prohibited by this EULA.
3. Ownership of Intellectual Property
The Software, including all copyrights, trademarks, patents, trade secrets, and other intellectual property rights, are owned by Plannex or its licensors. This EULA grants the User a limited license to use the Software but does not transfer any ownership or title of the Software.
4. Restrictions
The User agrees not to:
- Distribute, lease, sublicense, or rent the Software to any third party.
- Use the Software in a manner that infringes any intellectual property rights or violates any applicable laws or regulations.
- Use the Software to create derivative works or competitive products.
5. User Responsibilities
You are responsible for:
- Maintaining the confidentiality of your account credentials and for all activities under your account.
- Using the Software in compliance with all applicable local, state, and federal laws.
6. Privacy and Data Collection
- Plannex may collect and use data related to the User’s use of the Software for analytical, performance improvement, and user support purposes.
- Plannex will handle personal data in accordance with its Privacy Policy. By using the Software, you consent to such data collection and usage as described in the policy.
- Machine ID Collection: The Software collects machine identification (ID) for the purpose of activating and validating paid licenses. By activating the paid license, you consent to the collection and processing of your machine ID to ensure a personalized and secure licensing experience.
7. Updates and Upgrades
Plannex may provide updates, patches, or upgrades to the Software from time to time, which may be required to ensure its functionality and performance. Any updates provided by Plannex shall be governed by this EULA unless accompanied by a separate agreement.
8. Subscription and Payment
The Software is licensed on a subscription basis. You agree to provide accurate payment information and authorize Plannex to charge applicable subscription fees.
9. Support Services
Plannex may offer technical support, training, and other services to assist you in using the Software effectively. Support services are provided “as-is,” without any additional warranties, and may be subject to additional terms or fees.
10. Termination
This EULA is effective until terminated. Plannex may terminate this EULA immediately if the User fails to comply with any term of this agreement. Upon termination, the User must cease all use of the Software and destroy all copies of the Software in their possession.
11. Limitation of Liability
To the maximum extent permitted by law, Plannex and its licensors shall not be liable for any indirect, incidental, special, or consequential damages, including but not limited to loss of profits, revenue, or data, arising from the use or inability to use the Software. In any event, Plannex’s total liability to the User under this EULA will not exceed the amount paid for the Software in the 12 months preceding the claim.
12. Warranties
The Software is provided “as-is” and “as available,” without warranties of any kind, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. Plannex does not guarantee that the Software will be error-free or that any errors will be corrected.
13. Governing Law
This EULA shall be governed by and construed in accordance with the laws of our country, without regard to conflict of law principles. Any disputes arising from this EULA shall be subject to the exclusive jurisdiction of the courts of our country.
14. Entire Agreement
This EULA constitutes the entire agreement between the User and Plannex regarding the use of the Software and supersedes all prior agreements or understandings.
15. Amendments
Plannex reserves the right to modify this EULA at any time by posting the amended version on its website. Continued use of the Software after any such changes indicates acceptance of the new terms.
16. AI Data Services
The Plannex Excel Tool may utilize AI-powered services that are provided by OpenAI. By using features that involve AI data processing, you acknowledge and agree that such services are governed by OpenAI’s terms of use, privacy policy, and other related agreements. 17. Modifications to Software Features
Plannex Consulting Group reserves the right to add, modify, or remove any features of the Software at any time, with or without prior notice to the User. These changes may be made to enhance user experience, improve performance, ensure security, or for other operational reasons. Continued use of the Software following such modifications constitutes acceptance of the changes. If you do not agree to any changes, you must discontinue use of the Software.
